Northcove Visuals Drone Footage Licensing Agreement

This Licensing Agreement (the "Agreement") is entered into as of the ___ day of ___________, 2024,

by and between Northcove Visuals (the "Licensor"), located in the High Country of Western NC, and [Licensee Name]

(the "Licensee"), with reference to the following:

RECITALS

• Licensor owns exclusive rights to certain drone footage captured during Hurricane Helene in Spruce Pine, NC.

• Licensee wishes to acquire a non-exclusive license to use

specific video clips for their own purposes, subject to the terms outlined below.

TERMS AND CONDITIONS

1. Licensed Content

Licensor agrees to license

video clips of Hurricane Helene (the "Licensed Content") to the Licensee. The Licensed Content will be provided without watermarks.

2. Grant of License

The Licensor hereby grants the Licensee a non-exclusive, non-transferable, and non-sublicensable license to use the Licensed Content solely for the following purpose(s): [Insert Purpose, e.g., marketing, social media, editorial use, etc.].

The Licensor retains full ownership and copyright of the Licensed Content and reserves the right to license the same content to other parties.

3. License Fee

The Licensee agrees to pay a one-time fee as stated on the invoice for the Licensed Content. Payment must be made in full prior to the delivery of the files without watermarks.

4. Restrictions on Use

The Licensee agrees not to:a. Resell, redistribute, or sublicense the Licensed Content to any third party.b. Claim ownership or authorship of the Licensed Content.c. Alter the Licensed Content in a manner that misrepresents the original intent or context.

5. Attribution

Attribution to Northcove Visuals is not required, but the Licensee is encouraged to credit the Licensor when feasible.

6. Delivery

Upon receipt of the license fee, the Licensed Content will be delivered to the Licensee in a high-resolution, watermark-free format via Google Photos with a link sent through email.

7. Indemnification

The Licensee agrees to indemnify and hold the Licensor harmless from any claims, liabilities, damages, or expenses arising out of the Licensee’s use of the Licensed Content.

8. Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements, discussions, and negotiations.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina.
